TERMS OF SALE

Remit To: Reuland Electric Co, 225 North Unruh Ave. City of Industry, CA 91744

All Reuland Electric Co. (hereinafter Reuland) quotations, proposals, sales, and pricing are made based on the following terms, unless other arrangements are made that are acceptable to Reuland in writing:

1. Quotations, Pricing, & Acceptance of Order:
1. Price quotations are valid for thirty days.
2. All shipments are Ex Works Reuland factory (sometimes referred to as F.O.B. Reuland factory, freight collect) (Incoterms 2010). International freight forwarding: All transactions with non-USA or non-Canadian buyers are routed export transactions, under 15 CFR section 772.1 (a transaction where the foreign principal party in interest authorizes a U.S. forwarding or other agent to facilitate export of items from the United States).
3. Price quotations are subject to Reuland’s approval of credit, unless covered by a letter of credit acceptable to Reuland (in which event the terms of such letter of credit shall apply).
4. Reuland reserves the right to assess additional charges for change orders, customer requests not included in the quotation, and cancelled items. Reuland will advise the customer of additional charges as they occur. If charges for the preceding items are not approved by the customer in writing within three working days, the order may be put on production hold at Reuland's discretion. If the order is ready to ship and the customer delays shipment, Reuland will assess a storage fee of one percent (1%) of the total invoice price per week of storage after the first week of storage.
2. Payment Terms:
1. For sales outside the United States and Canada, payment terms shall be in accordance with an Irrevocable letter of credit suitable to Reuland or full payment received by Reuland prior to start of manufacturing.
2. For sales within the United States and Canada, payment terms are Net 30 days from date of shipment, subject to credit approval suitable to Reuland at the time of order. Depending on the size and complexity of the order, progress payments may be required.
3. Ship Date: The customer shall be notified of the scheduled ship date via Reuland's acknowledgment form. Any customer changes from the quotation, including but not limited to the motor specifications or design, change orders document package, revisions, scheduled inspections or approvals, may cause revised scheduled ship dates. Reuland Is not responsible for customer losses resulting from delays in shipment.
4. Reuland's product Installation and Warranty is addressed by Reuland Instructions and Warranty in effect at the time of any claim. The current Reuland Instructions and Warranty are incorporated herein.
5. Disclaimer of implied warranties and consequential damages: REULAND WARRANTIES ARE CONTINGENT UPON THE PROPER INSTALLATION AND USE OF YOUR REULAND PRODUCT IN ACCORDANCE WITH INSTRUCTIONS AND SPECIFICATIONS GIVEN TO YOU BY REULAND. THE EXPRESS WARRANTIES SET FORTH IN THE REULAND INSTRUCTIONS AND WARRANTY INCORPORATED HEREIN ARE IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL REULAND BE LIABLE TO CUSTOMER OR ANYONE ELSE FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, HOWEVER OCCASIONED.
6. The customer remains responsible for determining whether the purchased products are suitable for the customer's application.
7. This quotation contains proprietary and confidential information from Reuland and is intended for the proposed buyer only. Distribution to third parties without Reuland's written consent is prohibited.

Reuland expressly limits acceptance of this offer to the terms above.
